Under the Corporate Transparency Act (CTA), companies must disclose their BOI when filing for incorporation and when there are changes in ownership. Who must report BOI?
Most corporations, limited liability companies (LLCs) and similar entities are required to report their BOI. Certain entities, such as larger corporations, regulated financial institutions and nonprofit organizations may be exempt from reporting. Failure to report or providing false information can lead to substantial fines and potential legal consequences.
Existing companies created or registered before 2024 must submit their initial report by January1, 2025. Companies created or registered after 2024 must file the initial report within 90 days of registering the business. Those created after 2024 must file within 30 days of registering.
